Terms of Service — Miraurum

1. Acceptance of Terms

By accessing or using Miraurum ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use the Service.

These Terms constitute a legally binding agreement between you (or the company you represent) and Miraurum, Inc. ("Miraurum," "we," "us," or "our").

2. The Service

Miraurum provides a cash flow intelligence platform that connects to your financial accounts via Plaid, analyzes your transaction data, and generates insights, forecasts, and anomaly reports ("the Service").

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

To access the Service, you must create an account. You agree to:

Provide accurate, complete, and current information during registration
Maintain the security of your account credentials
Notify us immediately of any unauthorized use of your account
Be solely responsible for all activity occurring under your account

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By registering, you represent that you meet these requirements.

4. Subscriptions and Payment

Miraurum offers paid subscription plans billed on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis.

Billing. Subscriptions renew automatically unless cancelled before the renewal date.
Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; no partial refunds are issued.
Price changes. We will provide at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new price.
Taxes. Prices are exclusive of applicable taxes, which will be added where required by law.

All payments are processed by Stripe. By providing payment information, you also agree to Stripe's terms of service.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights
Upload, transmit, or distribute any malicious code, viruses, or harmful content
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Reverse engineer, decompile, or disassemble any portion of the Service
Scrape or systematically extract data from the Service beyond personal use
Use the Service for any fraudulent, misleading, or deceptive purpose
Resell or sublicense access to the Service without our written consent

Violation of these provisions may result in immediate termination of your account without refund.

6. Your Data

You retain ownership of all financial data you connect to Miraurum. By using the Service, you grant Miraurum a limited, non-exclusive license to access, process, and display your data solely for the purpose of providing the Service.

We do not sell your financial data to third parties. Please review our Privacy Policy for a full description of how we collect, use, and protect your data.

You are responsible for ensuring you have the right to connect any financial accounts to the Service and that doing so complies with any applicable agreements with your financial institution.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, and logos — are owned by Miraurum and are protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service or our intellectual property. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written consent.

8. Third-Party Services

The Service integrates with third-party services including Plaid (bank connectivity), Stripe (payments), and Anthropic (analysis engine). Your use of these integrations is subject to their respective terms of service and privacy policies.

Miraurum is not responsible for the availability, accuracy, or practices of any third-party service. We recommend reviewing the terms and privacy policies of all third-party services you connect to Miraurum.

9. Termination

Either party may terminate this agreement at any time. You may terminate by cancelling your account. We may terminate or suspend your access immediately, without prior notice, if you materially breach these Terms.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a period not to exceed 90 days after termination to allow for data export, after which it will be permanently deleted.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. Miraurum expressly disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Miraurum does not warrant that: (a) the Service will be uninterrupted or error-free; (b) insights or forecasts generated by the Service are accurate or suitable for financial decision-making; or (c) the Service is free of viruses or other harmful components.

Miraurum insights are not financial advice. You should consult a qualified financial professional before making any financial decisions based on information provided by the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Miraurum and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising out of or relating to your use of the Service.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to resolve any dispute on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and update the "Last updated" date above. For material changes, we will notify you by email or by displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
